The matter

A valuable commercial relationship depended on an agreement that did not fully account for several ways the relationship could change or break down.

What I did

I reviewed the agreement against the economics of the relationship and revised the provisions governing performance, liability, termination, and other material risks.

Why it mattered

The goal was to reduce the chance that foreseeable legal or economic problems would damage the relationship or the substantial value attached to it.
